Ambarella, Inc.’s Annual Meeting of Shareholders will be held on June 4, 2025 at 3101 Jay Street, Santa Clara, CA, 95054, at 9:00 a.m. Pacific Time.

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

Election of Directors:

01 - Chantelle Breithaupt

02 - Chenming Hu, Ph.D.

03 - Feng-Ming (Fermi) Wang, Ph.D.

2.

To ratify the appointment of PricewaterhouseCoopers LLP as our independent registered public accounting firm for the fiscal year ending January 31, 2026.

3.

To approve on a non-binding, advisory basis, the compensation of our named executive officers.

The Board of Directors of Ambarella recommends a vote FOR each of the director nominees listed above and FOR Proposals 2 and 3.

The Board of Directors of Ambarella, Inc. has fixed the close of business on April 15, 2025 as the record date for the determination of shareholders entitled to notice of, and to vote at, the 2025 Annual Meeting of Shareholders and any adjournment or postponement thereof.
