Item 2.02 Results of Operations and Financial Condition.
On November 19, 2024, ConnectM Technology Solutions, Inc., a Delaware corporation (the “Company”), issued a press release announcing selected financial results for the three and nine months ended September 30, 2024.

The Company has filed a definitive proxy statement dated October 30, 2024 with the SEC in connection with the solicitation of stockholder approval pursuant to Nasdaq Listing Rule 5635 in connection with the issuance of up to an aggregate of 10,391,588 shares of common stock upon the conversion of $13,739,484 of the Company’s outstanding debt into shares of common stock, par value $0.0001 (the “Proposal”). A full description of the Proposal is provided in the proxy statement.
