    The 2025 Annual Meeting of Shareholders of CPI Aerostructures, Inc. (the “Company”) will be held at 91 Heartland Blvd, Edgewood, New York 11717, on Tuesday, June 24, 2025, at 1:00 p.m. (local time).

     

    Proposals to be considered at the Annual Meeting:

     

    (1)To elect to the Company’s Board of Directors, three persons nominated by the Company’s Board of Directors as Class III directors to serve until the term of the Class III directors ends in 2028;

     

    (2)To approve, on an advisory basis, the compensation of the Company’s Named Executive Officers;

     

    (3)To approve the adoption of the Company’s 2025 Long-Term Incentive Plan;

     

    (4)To ratify the appointment of CBIZ CPAs P.C. as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2025; and

     

    (5)To address such other matters as may properly come before the Annual Meeting or any adjournment or postponement thereof.

     

    The Board of Directors recommends a vote “FOR” the three nominees under Proposal 1 and “FOR” Proposals 2, 3 and 4.
