The 2023 Annual Meeting of Shareholders of Mega Matrix Corp. (the “Company”) will be held virtually at https://www.cstproxy.com/megamatrix/2023, on December 15, 2023, at 10:00 AM (Pacific Standard Time).
Proposals to be considered at the Annual Meeting:
| 1. | To elect five (5) persons to the board of directors of the Company, each to serve until the next annual meeting of stockholders of the Company or until such person shall resign, be removed or otherwise leave office; |
| 2. | To approve the proposed Amended and Restated 2021 Equity Incentive Plan; |
| 3. | To approve, on an advisory basis, the compensation of our named executive officers; |
| 4. | To ratify the appointment of Audit Alliance LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2023; and |
| 5. | To conduct any other business properly brought before the Annual Meeting. |
The Board of Directors recommends a vote “FOR” all nominees under Proposal 1, and “FOR” Proposals 2, 3, and 4.
