Shareholder Meeting Notice

The 2025 Annual Meeting of Shareholders of Owens & Minor, Inc. (the “Company”) will be held Thursday, May 15, 2025, at 9:00 a.m. EDT, virtually via the internet at https://meetnow.global/MTZ6XSM. To access the virtual meeting, you must have the information that is printed in the shaded bar located on the reverse side of this form.

Proposals to be voted on at the meeting are listed below.

The Board of Directors recommends a vote FOR all the nominees listed and FOR Proposals 2 and 3:

 

1.	Election of nine Directors, each for a one-year term and until their respective successors are elected and qualified:

2.	Ratification of the appointment of KPMG LLP as the Company’s independent registered public accounting firm for the year ending December 31, 2025.

 

3.	Advisory vote to approve the compensation of the Company’s named executive officers.

 

4.	To transact any other business as may properly come before the Annual Meeting.

The Board of Directors has fixed the close of business on March 19, 2025 as the record date (the “Record Date”) for the determination of shareholders entitled to receive notice of and to vote at the Annual Meeting or any adjournment(s) thereof.

Shareholders of record as of the Record Date are encouraged and cordially invited to attend the virtual Annual Meeting.
