Item 8.01 Other Events.
On March 20, 2025 at 1:00 p.m. Eastern Time, PLBY Group, Inc. (the “Company”) convened a Special Meeting of its Stockholders (the “Special Meeting”). At that time, there were not present or represented by proxy a sufficient number of shares of the Company’s common stock to constitute a quorum. Accordingly, the Company adjourned the Special Meeting without any business being conducted. The adjourned meeting will reconvene virtually on April 17, 2025 at 1:00 p.m. Eastern Time, to vote on the proposals described in the proxy statement filed with the Securities and Exchange Commission (“SEC”) on February 4, 2025. The close of business on January 23, 2025 will continue to be the record date for the determination of stockholders of the Company entitled to vote at the reconvened Special Meeting.
Stockholders may cast their votes by visiting http://www.proxyvote.com or by calling 1-800-690-6903 before the reconvened Special Meeting, or going to http://www.virtualshareholdermeeting.com/PLBY2025SM during the reconvened Special Meeting. Stockholders of the Company who have previously submitted their proxy or otherwise voted and who do not want to change their vote do not need to take any action. During the period of the adjournment, the Company will continue to solicit votes from its stockholders with respect to the proposals for the Special Meeting.
The Company encourages all stockholders of record as of the close of business on January 23, 2025 who have not yet voted to do so by April 16, 2025 at 11:59 p.m. Eastern Time. Notwithstanding the foregoing, any votes properly received before the close of the adjourned Special Meeting on April 17, 2025 will be accepted. Proxies previously submitted in respect of the Special Meeting will be voted at the adjourned meeting unless properly revoked.
On March 20, 2025, the Company issued a press release announcing the adjournment of the Special Meeting. A copy of such press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

PLBY GROUP ANNOUNCES ADJOURNMENT OF SPECIAL MEETING OF STOCKHOLDERS
LOS ANGELES, March 20, 2025 (GLOBE NEWSWIRE) -- PLBY Group, Inc. (Nasdaq: PLBY) (the “Company” or “PLBY Group”), a leading pleasure and leisure lifestyle company and owner of Playboy, one of the most recognizable and iconic brands in the world, today announced that its Special Meeting of Stockholders (the “Special Meeting”), held on March 20, 2025 at 1:00 p.m. Eastern Time, was convened and adjourned without any business being conducted, due to lack of the required quorum.
The Special Meeting will reconvene virtually on April 17, 2025 at 1:00 p.m. Eastern Time to provide its stockholders additional time to vote on the proposals described in the proxy statement filed with the Securities and Exchange Commission (the “SEC”) on February 4, 2025. No changes have been made in the proposals to be voted on by stockholders at the Special Meeting. Stockholders will be able to attend the reconvened Special Meeting via a live audio webcast by visiting http://www.virtualshareholdermeeting.com/PLBY2025SM and logging on to the webcast with their 16-digit control number included on their Notice of Internet Availability or their proxy card (if they received a paper copy of the proxy materials) or an email if one was sent to them to obtain their records and to vote.
The record date for determining stockholder eligibility to vote at the Special Meeting will remain the close of business on January 23, 2025. Proxies previously submitted will be voted at the Special Meeting unless properly revoked, and stockholders who have already submitted a proxy or otherwise voted need not take any action. Stockholders may cast their votes by visiting http://www.proxyvote.com or by calling 1-800-690-6903 before the reconvened Special Meeting, or going to http://www.virtualshareholdermeeting.com/PLBY2025SM during the reconvened Special Meeting.
The Company’s Board of Directors unanimously recommends that stockholders vote “FOR” all proposals. In addition, leading independent proxy advisory firms Institutional Shareholder Services Inc. and Glass Lewis issued reports that recommend the stockholders of the Company vote “FOR” all proposals in the Company’s Special Meeting proxy statement.
