On March 13, 2025, the following email was sent by an authorized representative of Radius Recycling, Inc., an Oregon corporation, to certain of its customers or business partners:
Dear Valued Partner,
I’m reaching out with exciting news about Radius Recycling. We recently announced an agreement to be acquired by a U.S. subsidiary of Toyota Tsusho Corporation (“TTC”). This is an important milestone in Radius’ mission to advance a circular economy by processing and recycling millions of tons of metals every year. In case you are unfamiliar, TTC is an affiliate of the Toyota Group, and like Radius, is a proven leader in metals and automotive recycling, driven by a commitment to increasing recycling and expanding the circular economy. TTC has a successful track record of acquisitions with meaningful investments in the employees and operations of those companies. TTC shares our commitment to increasing recycling and expanding the circular economy, as well as our culture of ethics, safety, and environmental stewardship.
Our agreement builds on Radius’ longstanding relationship with TTC and will give us a greater ability to invest in the continued development of our metals recycling platform, Pick-N-Pull auto recycling business, 3PR™ recycling services and solutions, and Cascade electric arc furnace and rolling mill – all while delivering compelling benefits to our employees, our customers, our shareholders, and the communities that we serve. This transaction will provide Radius with the opportunity to benefit from TTC’s financial strength, recycling technology, and experience in providing recycling services to the automotive sector, aimed at expanding Radius’ metals recovery business, recycling services, and other product lines.
Throughout Radius’ nearly 120-year history, our strong relationships with our customers and business partners have been core to our success, and that will remain true. To that end, I want to emphasize that Radius will continue our business as usual, and we expect no change to your existing contract or the standard of service you have come to know. Upon completion of the transaction, we will continue to operate as we have in the past, with our teams, our operating facilities, our headquarters, our strategy, and our brands retained. Your dedicated team at Radius will continue to serve as your trusted points of contact, ensuring seamless communication and continuity in our partnership. In terms of next steps, we expect the transaction to close in the second half of calendar year 2025, following approval by our shareholders, receipt of required regulatory approvals, and other customary closing conditions. Until then, we will continue to operate independently and in the normal course.
