Item 8.01 Other Events.
On August 15, 2024, Terran Orbital Corporation, a Delaware corporation (the “Company”), and Lockheed Martin Corporation, a Maryland corporation (“Lockheed Martin”), issued a joint press release announcing the execution of a definitive agreement pursuant to which, upon the terms and subject to the conditions set forth therein, Lockheed Martin will acquire the Company. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated into this Item 8.01 by reference.
