Authorization of the Board as the competent body to issue Ordinary Shares and grant rights to subscribe for Ordinary Shares. 7. Authorization of the Board to exclude or limit preemptive rights upon the issuance of Ordinary Shares. 8. Authorization of the Board to repurchase Ordinary Shares. 9. Appointment of KPMG as external auditor of the Company for the financial year 2025. 10. Approval, on an advisory basis, of the compensation of the named executive officers of the Company. 11.
