This Schedule 14A filing consists of a communication from Vapotherm, Inc., a Delaware corporation (the “Company”), to certain consultants of the Company relating to the Agreement and Plan of Merger (the “Merger Agreement”), dated as of June 17, 2024, among Veronica Holdings, LLC, a Delaware limited liability company (“Topco”), Veronica Intermediate Holdings, LLC, a Delaware limited liability company and wholly owned subsidiary of Topco (“Parent”), Veronica Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of Parent, and the Company.
The following email was sent to certain consultants of the Company on June 26, 2024:

As a valued (Vapotherm HCP consultant/Vapotherm Customer), we’re excited to announce we have entered into agreements with a new investor, Perceptive, and our existing lender, SLR, to fund our future growth! In connection with the closing of this transaction, Vapotherm will raise new equity capital, restructure our debt and become a private company.
We have an awesome team and impactful technology, and these leading industry investors see what we have done and where we will take this company in the future, which is why SLR agreed to convert a large amount of debt into preferred equity and Perceptive has chosen to invest in our company.
No changes in how we do business
We’ve been in business for over 25 years and have always put the Patient and Customer first in what we do – that will never change. As a private company, resources previously focused on public company requirements will be re-directed toward driving growth and profitability.
