    Interest Payment Dates:    Semi-annually on May 1 and November 1, commencing November 1, 2025.

    Initial Price to Public:    99.872% of the principal amount plus accrued interest, if any, from May 2, 2025, if settlement occurs after that date.

    Optional Redemption:    Prior to April 1, 2028 (the “Par Call Date”), in whole or in part, at any time and from time to time, at a redemption price equal to the greater of: (1) (a) the sum of the present values of the remaining scheduled payments of principal and interest thereon discounted to the redemption date (assuming the Notes matured on the Par Call Date) on a semi-annual basis at the Treasury Rate plus 10 basis points less (b) interest accrued to the date of redemption; and (2) 100% of the principal amount of the Notes to be redeemed, plus, in either case, accrued and unpaid interest thereon to the redemption date. On or after the Par Call Date, in whole or in part, at any time and from time to time, at a redemption price equal to 100% of the principal amount of the Notes being redeemed plus accrued and unpaid interest thereon to the redemption date.
    Offer to Repurchase:    Upon the occurrence of both (i) a change of control of Cintas Corporation No. 2 and its subsidiaries or Cintas Corporation and its subsidiaries and (ii) a downgrade of the Notes below an investment grade rating by each of Moody’s Investors Service, Inc. and Standard & Poor’s Financial Services, LLC within a specified period, the Issuer will be required to make an offer to purchase the Notes at a price equal to 101% of their principal amount, plus accrued and unpaid interest to the date of repurchase.
