Optional Redemption: | Prior to March 15, 2034 (the date that is three months prior to the maturity date of the Notes), the Issuer may redeem the Notes, in whole or in part, at any time and from time to time, at a redemption price equal to the greater of (i) 100% of the principal amount of the Notes to be redeemed and (ii) a make-whole amount calculated as set forth in the preliminary prospectus supplement (Treasury Rate plus 30 basis points), plus, in either case, accrued and unpaid interest thereon to, but excluding, the redemption date. On and after March 15, 2034, the Issuer may redeem the Notes, in whole or in part, at any time and from time to time, at a redemption price equal to 100% of the principal amount of the Notes to be redeemed, plus accrued and unpaid interest thereon to, but excluding, the redemption date. |
