The following sets forth the final terms of the 7.75% Senior Notes Due 2030 (the “Notes”) and should only be read together with the preliminary prospectus supplement, dated December 3, 2024 relating to these securities (together, the “Preliminary Prospectus Supplement”) and supersedes the information in the Preliminary Prospectus Supplement to the extent inconsistent with the information in the Preliminary Prospectus Supplement. In all other respects, this pricing term sheet is qualified in its entirety by reference to the Preliminary Prospectus Supplement. Terms used herein but not defined herein shall have the respective meanings as set forth in the Preliminary Prospectus Supplement. All references to dollar amounts are references to U.S. dollars.

Interest Payment Dates: | The Notes will pay interest on March 31, June 30, September 30 and December 31 of each year. If an interest payment date is a non-business day, the applicable interest payment will be made on the next business day and no additional interest will accrue as a result of such delayed payment. Interest payments on the Notes will commence on March 31, 2025. |
Interest Payment Period: | The initial interest payment period for the Notes will be the period from and including December 10, 2024, to, but excluding, March 31, 2025. The subsequent interest payment periods will be the period from and including an interest payment date to, but excluding, the next interest payment date or the stated maturity date, as the case may be. |
Regular Record Dates for Interest Payments: | Every March 15, June 15, September 15 and December 15. The first record date will be March 15, 2025. If the record date for an interest payment is a non-business day, the record date will be the next business day. |
Business Days: | Each Monday, Tuesday, Wednesday, Thursday and Friday that is not a day on which banking institutions in New York City are authorized or required by law or executive order to close. |
Optional Redemption: | The Notes may be redeemed in whole or in part at any time at the issuer’s option (i) on or after June 30, 2027, upon not less than 30 days’ nor more than 60 days’ written notice, by mail prior to the date fixed for redemption thereof, at a redemption price of 100% of the aggregate principal amount of the Notes to be redeemed plus unpaid interest payable thereon accrued to, but excluding, the date fixed for redemption. |

The Issuer expects that delivery of the Notes will be made against payment therefor on or about December 10, 2024, which will be the third business day following the date of the pricing of the Notes (such settlement being herein referred to as “T+3”). Under Rule 15c6-1 promulgated under the Securities Exchange Act of 1934, as amended, trades in the secondary market generally are required to settle in one business day, unless the parties to any such trade expressly agree otherwise. Accordingly, purchasers who wish to trade the Notes prior to the date of delivery hereunder will be required, by virtue of the fact that the Notes initially will settle in T+3 business days, to specify an alternative settlement arrangement at the time of any such trade to prevent a failed settlement.
