    Summary of Terms

    Issuer: Royal Bank of Canada
    Market Measures: The common stock of Microsoft Corporation (the “MSFT Stock”) and the common stock of NVIDIA Corporation (the “NVDA Stock”) (each referred to as an “Underlying Stock,” and collectively as the “Underlying Stocks”)
    Pricing Date: January 16, 2026
    Issue Date: January 22, 2026
    Calculation Day: January 16, 2029
    Stated Maturity Date: January 19, 2029
    Face Amount: $1,000 per security
    Automatic Call: If the closing value of the lowest performing Underlying Stock on the call date is greater than or equal to its starting value, the securities will be automatically called, and on the call settlement date, you will be entitled to receive a cash payment per security in U.S. dollars equal to the face amount plus the call premium.
    Call Premium: At least 29.00% of the face amount (to be determined on the pricing date)
    Call Date: January 22, 2027
    Call Settlement Date: Three business days after the call date
    Maturity Payment Amount, if the Securities Are Not Automatically Called (per Security):

    if the ending value of the lowest performing Underlying Stock on the calculation day is greater than its starting value:

    $1,000 + ($1,000 × stock return of the lowest performing Underlying Stock on the calculation day × upside participation rate);

    ·

    if the ending value of the lowest performing Underlying Stock on the calculation day is less than or equal to its starting value, but greater than or equal to its threshold value: $1,000; or

    ·

    if the ending value of the lowest performing Underlying Stock on the calculation day is less than its threshold value:

    $1,000 + ($1,000 × stock return of the lowest performing Underlying Stock on the calculation day)

    Upside Participation Rate: 200%
    Stock Return: For each Underlying Stock, on the call date or the calculation day: (closing value on that day – starting value) / starting value
    Lowest Performing Underlying Stock: For the call date or the calculation day, the Underlying Stock with the lowest stock return on that day
    Starting Value: For each Underlying Stock, its closing value on the pricing date
    Ending Value: For each Underlying Stock, its closing value on the calculation day
    Threshold Value: For each Underlying Stock, 50% of its starting value
    Calculation Agent: RBC Capital Markets, LLC (“RBCCM”), an affiliate of the issuer
    Denominations: $1,000 and any integral multiple of $1,000
    Agent Discount: Up to 2.575%; dealers, including those using the trade name Wells Fargo Advisors (“WFA”), may receive a selling concession of up to 2.00% and WFA may receive a distribution expense fee of 0.075%. In addition, selected dealers may receive a fee of up to 0.20% for marketing and other services.

    Hypothetical Payout Profile*

     

    * Assumes a call premium equal to the lowest possible call premium that may be determined on the pricing date

    If the securities are automatically called, the positive return on the securities will be limited to the call premium, and you will not participate in any appreciation of either Underlying Stock, which may be significant. If the securities are automatically called, you will no longer have the opportunity to participate in any appreciation of either Underlying Stock at the upside participation rate.

    If the securities are not automatically called prior to stated maturity and the ending value of the lowest performing Underlying Stock on the calculation day is less than its threshold value, you will have full downside exposure to the decrease in the value of that Underlying Stock from its starting value, and you will lose more than 50%, and possibly all, of the face amount of your securities at maturity.

    The initial estimated value of the securities determined by us as of the pricing date, which we refer to as the initial estimated value, is expected to be between $894.50 and $944.50 per security and will be less than the original offering price of the securities. We describe the determination of the initial estimated value in more detail in the accompanying preliminary pricing supplement.
