    Optional Redemption:    Prior to February 15, 2031, with respect to the 2031 Notes (1 month prior to their maturity date) (the “2031 Notes Par Call Date”), and, subject to the Special Mandatory Redemption, prior to December 15, 2035, with respect to the 2036 Notes (3 months prior to their maturity date) (the “2036 Notes Par Call Date”) (each, a “Par Call Date”), the Issuer may redeem the Notes at its option, in whole or in part, at any time and from time to time, at a redemption price (expressed as a percentage of principal amount and rounded to three decimal places) equal to the greater of:
      

    1.  (a) the sum of the present values of the remaining scheduled payments of principal and interest on such series of Notes discounted to the redemption date (assuming the Notes of such series matured on the applicable Par Call Date) on a semi-annual basis (assuming a 360-day year consisting of twelve 30-day months) at the Treasury Rate plus 15 basis points with respect to the 2031 Notes, and 15 basis points with respect to the 2036 Notes, less (b) interest accrued to, but excluding, the date of redemption, and

      

    2.  100% of the principal amount of the Notes of such series to be redeemed,

     

    plus, in either case, accrued and unpaid interest thereon to, but excluding, the redemption date.

       On or after the 2031 Notes Par Call Date, with respect to the 2031 Notes, and on or after the 2036 Notes Par Call Date, with respect to the 2036 Notes, the Issuer may redeem the Notes, in whole or in part, at any time and from time to time, at a redemption price equal to 100% of the principal amount of the Notes being redeemed plus accrued and unpaid interest thereon to, but excluding, the redemption date.


    Special Mandatory Redemption:    If (i) the consummation of the Newfront Acquisition does not occur on or before the Outside Date, (ii) prior to the Outside Date, the Merger Agreement is terminated by the Issuer or (iii) the Issuer otherwise notifies the trustee in writing that it will not pursue the consummation of the Newfront Acquisition, the Issuer will be required to redeem the 2036 Notes at a special mandatory redemption price equal to 101% of the principal amount of the notes to be redeemed plus accrued and unpaid interest to, but excluding, the Special Mandatory Redemption Date. The 2031 Notes will not be subject to Special Mandatory Redemption.

    U.S. commercial insurance rates moderate to 3.8%
