Spindletop Health Acquisition Corp. (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2021 (the “2021 Form 10-K”) by the prescribed due date for the reasons described below.

The Company is unable to file its 2021 Form 10-K within the prescribed time period without unreasonable effort or expense as the Company needs additional time to provide information to its independent registered public accounting firm necessary to complete the audit of the financial statements for the year ended December 31, 2021. The Company currently expects to file the 2021 Form 10-K within the fifteen calendar-day period permitted pursuant to Rule 12b-25.
