The Registrant is unable to file its Form 10-Q for the quarter ended September 30, 2025 (the “Quarterly Report”) within the prescribed time period without undue hardship and expense to the Registrant. The Registrant requires additional time because management requires additional time to complete its analysis of certain transactions incurred during the quarter. The Registrant anticipates that it will file the Quarterly Report no later than five days after its original prescribed due date as provided by Exchange Act Rule 12b-25.
