State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Gyrodyne, LLC (the “Company”) could not complete the filing of its Quarterly Report on Form 10-Q for the fiscal quarter ended September 30, 2024 (the “Form 10-Q”) before the prescribed due date because the board of directors of the Company and management need additional time to assess what impact, if any, market conditions and other relevant factors may have on the estimated value of the Company’s real estate held for sale, which is information required to be included in the Form 10-Q under the liquidation basis of accounting, and which delay could not be eliminated by the Company without unreasonable effort and expense. In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, as amended, the Company will file the Form 10-Q no later than the fifth calendar day following the prescribed due date.
