State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Conn’s, Inc. (the “Company”) is unable to file, without unreasonable effort or expense, its Annual Report on Form 10-K for the year ended January 31, 2024 (the “Annual Report”) by the prescribed filing date for the reasons stated below.
Due to the proximity in timing of the prescribed filing date for our Annual Report to the Company’s acquisition of W.S. Badcock LLC (“Badcock”), which was acquired by the Company on December 18, 2023, the financial complexities associated with the Badcock acquisition, and Company management’s time and attention required to integrate and prepare the Company’s annual consolidated financial statements, the Company has determined the need for additional time to complete the typical procedures relating to its year-end reporting process. In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, as amended, the Company expects to file its Annual Report within the fifteen-calendar day extension period following the prescribed filing due date of April 15, 2024.
