The Registrant is unable to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2024 within the prescribed time period without unreasonable effort or expense as the Registrant’s accounting staff requires additional time to prepare and finalize its financial statements for the period ended December 31, 2024. The Registrant anticipates it will be able to file its Form 10-K within the 15-day extension period provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended.
