State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

SEC 1344 (04-09)		MRC Global Inc. (the “Company”) is filing this Notification of Late Filing on Form 12b-25 with respect to its Annual Report on Form 10-K for the year ended December 31, 2024 (the “Annual Report”) because the Company requires additional time to complete year-end procedures specifically related to inventory counts. The Company requires additional time to finalize its analysis of its inventory counts, incorporate the results into financial statements and complete its assessment over its internal controls over financial reporting. This process includes reviewing the results of inventory counts, resolving variances, completing accounting rollbacks from the date of the inventory count at each location to December 31, 2024, the date of the Company’s financial statements, and completing audit procedures. The Company anticipates filing the Annual Report on or before March 18, 2025.
