The Company has determined that it is unable to file its Annual Report on Form 10-K for the year ended December 31, 2023 within the time period without reasonable effort or expense as additional time is needed to complete the financial statements and gather information required to complete the related audit included in the Annual Report. The Company currently expects to file the Annual Report within the fifteen calendar-day period permitted pursuant to Rule 12b-25 but can provide no assurance that it will be able to file by such time.
