State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
WidePoint Corporation (the “Company,” "WidePoint," "we" or "our") has determined that it is unable to file, without unreasonable effort or expense, its Annual Report on Form 10-K for the fiscal year ended December 31, 2024 (the “2024 Form 10-K”) by the prescribed due date of March 31, 2025, as explained below.
The Company is continuing to evaluate its accounting with respect to revenue recognition associated with the reselling of third-party software and related items. The outcome of this evaluation will not impact cash for previously reported periods. The Company needs additional time to complete its assessment, which assessment must be completed prior to the filing of the 2024 Form 10-K.
In connection with the foregoing matters, the Company is continuing to assess the effectiveness of its disclosure controls and procedures and internal controls over financial reporting. The Company expects to conclude that it did not maintain effective disclosure controls and procedures and internal control over financial reporting for the fiscal year ended December 31, 2024. The Company is continuing to evaluate appropriate remediation steps related to these matters, including with respect to a material weakness.
