State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q,10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
AgileThought, Inc. (the “Registrant”) is filing this Notification of Late Filing on Form 12b-25 with respect to its Quarterly Report on Form 10-Q for the fiscal period ended September 30, 2023 (the “Form 10-Q”). As
previously disclosed, the Registrant and certain of its direct and indirect subsidiaries filed voluntary petitions under title 11 of the United States Code, 11 U.S.C. §§ 101, et seq. in the U.S. Bankruptcy Court for the District of Delaware.
In light of the foregoing and the Registrant’s general circumstances, including insufficient staffing and available sources of liquidity to complete the Form 10-Q, the Registrant is unable to file the Form 10-Q within
the prescribed time period without unreasonable effort and expense. The Registrant does not anticipate that it will have sufficient staffing and resources to file the Form 10-Q in the near term, if at all.
