State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
American Vanguard Corporation (the “Company”) is unable to file, without unreasonable effort or expense, its Report on Form 10-Q for the period ended March 31, 2025 (the “Form 10-Q”) by May 12, 2025, the original due date for such filing. Specifically, the Company requires additional time and effort to complete certain documentation, disclosures and analyses to be included either in, or in support of, the Company’s Annual Report on Form 10-K. for the fiscal year ended December 31, 2024 (the “Form 10-K”) and, therefore, the Form 10-Q which will be filed subsequent to the Form 10-K. The Company expects to file the Form 10-K and then the Form 10-Q within the 5 calendar day extension period provided for the Form 10-Q by Rule 12b-25 under the Securities Exchange Act of 1934, as amended.
