Blue Ocean Acquisition Corp (the “Registrant”) is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2024 (the “Quarterly Report”) within the prescribed filing date of August 14, 2024, because it needs additional time to complete its final review of its financial statements and other disclosures in the Quarterly Report. The Registrant is working diligently to finalize and file the Quarterly Report within the time period provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended, or as soon as practicable.
