State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Luminar Technologies, Inc. (the “Company”) is unable to file its quarterly report on Form 10-Q for the quarterly period ended March 31, 2025 (the “Form 10-Q”) within the prescribed time period without unreasonable effort or expense because the Company requires additional time to complete the quarter-end review as a result of the recently announced principal executive officer change disclosed on the Company’s Current Report on Form 8-K filed on May 15, 2025 (the “Form 8-K”), as well as the need to complete an assessment of the impact on the Company’s control environment, including the impact on management’s assessment of the effectiveness of internal controls over financial reporting, as a result of the Code of Business Conduct and Ethics inquiry by the Audit Committee of the Company’s Board of Directors noted in the Form 8-K. The Company intends to file the Form 10-Q on or before the fifth calendar day following the prescribed due date. This additional review is not expected to impact the Company’s historical financial results.

On May 14, 2025, the Company issued a press release and published a presentation announcing its quarterly business update and preliminary financial results for the first quarter of 2025 (collectively, the “Earnings Materials”) and included a copy of the Earnings Materials as exhibits to the Company’s Current Report on Form 8-K furnished by the Company with the SEC on May 14, 2025. As disclosed in the Earnings Materials, the Company announced revenue of $18.9 million, gross loss of $(8.1) million and net loss of $(76.5) million for the first quarter of 2025, compared to revenue of $21.0 million, gross loss of $(10.5) million and net loss of $(125.7) million for the first quarter of 2024. The decrease in net loss for the first quarter of 2025 was primarily due to a decrease in operating expenses due to cost reduction initiatives and an increase in other income primarily driven by a gain on extinguishment of debt in the first quarter of 2025. The foregoing financial results should be considered preliminary, and are subject to change to reflect any necessary adjustments or changes in accounting estimates, that are identified prior to the time that Luminar files its Form 10-Q.
