State below in reasonable detail the reasons why the Form 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period. (Attach extra sheets if needed)
LuxUrban Hotels Inc. (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the quarter ended September 30, 2024 (the “Form 10-Q”) by the prescribed due date. The delay is due to the Company’s significant engagement in a special meeting and proxy solicitation process to obtain shareholder approval for a reverse stock split, which is part of the Company’s plan to regain compliance with Nasdaq's continued listing requirements, as well as the Company’s required use accounting and other resources to produce and evaluate information in connection with various strategic initiatives the Company is evaluating. These efforts have temporarily diverted the Company's attention and resources from completing the preparation and review of the Form 10-Q. The Company anticipates filing the 10-Q within the extension period provided by this Form 12b-25.
Furthermore, preparation of the Form 10-Q would have diverted the attention of the Company’s management from certain important strategic efforts it has been undertaking to improve the Company’s capital position. Such strategic undertakings have been successful to date but required a significant amount of management's time that was to have been utilized for the preparation of the Form 10-Q and delayed the preparation of the unaudited financial statements for the quarter ended September 30, 2024.
As a result of the foregoing, the Company requires additional time to complete its quarter-end financial reporting processes and compile and verify the data required to be included in the Form 10-Q.
