K Wave Media Ltd. (the “Company”) is filing this Notification of Late Filing on Form 12b-25 with respect to its annual report on Form 20-F for the fiscal year ended December 31, 2025 (the “Annual Report”). The Company has determined that it is unable to file the Annual Report within the prescribed time period without unreasonable effort or expense because the Company requires additional time to complete its financial reporting close process and finalize its financial statements and related disclosures to be included in the Annual Report. In particular, management requires additional time (i) to complete its analysis and documentation regarding the Company’s ability to continue as a going concern, (ii) to finalize the results and conclusions of its significant impairment assessments and the related financial statement impacts, and (iii) to prepare and finalize the disclosure regarding a probable disposition of a material subsidiary. The Company expects to file the Annual Report on or before the fifteenth calendar day extension provided by Rule 12b-25.
