The Registrant is unable to file its Form 20-F for the fiscal year ended December 31, 2025 within the prescribed time period without unreasonable effort or expense because additional time is needed to finalize the financial statements for the fiscal year ended December 31, 2025. The Registrant anticipates that it will file its Form 20-F within the fifteen-day grace period provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended.

Total revenues increased by approximately $1.5 million, or 84%, to approximately $3.4 million for the year ended December 31, 2025 from $1.8 million for the year ended December 31, 2024. Total cost of revenues increased by approximately $1.2 million, or 117%, to approximately $2.2 million for the year ended December 31, 2025 from approximately $1.0 million for the year ended December 31, 2024. Gross profit increased by approximately $0.4 million, or 44%, to approximately $1.2 million for the year ended December 31, 2025 from $0.8 million for the year ended December 31, 2024. Total net loss amounted to approximately $12.6 million and $8.4 million for the year ended December 31, 2025 and 2024, respectively. For the year ended December 31, 2025, selling expenses were approximately $0.8 million, representing a 137% increase from $0.3 million in the year ended December 31, 2024.
