PART III — NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
CN ENERGY GROUP. INC. (the “Company”) is unable to file its Annual Report on Form 20-F for the fiscal year ended September 30, 2023 (the “Form 20-F”) within the prescribed time period without undue hardship and expenses to the Company. This delay is largely attributed to the recent implementation of a reverse stock split, which became effective at 5:00 p.m. British Virgin Islands time on January 18, 2024. Additionally, the Company’s independent registered public accounting firm has yet to complete its review of the financial statements for the fiscal year ended September 30, 2023. The Company is working diligently to complete its Form 20-F for such period as soon as possible and currently anticipates to file the Form 20-F no later than the fifteenth calendar day following the prescribed due date.
