PART III — NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
As previously disclosed, on October 23, 2023, Codere Online Luxembourg, S.A.’s (the “Company”) former auditor notified the Company of its decision to decline to stand for re-election or re-appointment as the Company’s independent registered public accounting firm for purposes of auditing the Company’s financial statements for the year ended December 31, 2023, resulting from the former auditor’s decision not to renew as the independent auditor for Codere New Topco S.A. and its consolidated subsidiaries, which included the Company. On March 8, 2024, the Company engaged Marcum LLP (“Marcum”) as the Company’s new independent registered public accounting firm for purposes of auditing the Company’s financial statements for the year ended December 31, 2023.
As a result of the foregoing, the Company has determined that it is unable to file its Annual Report on Form 20-F for the fiscal year ended December 31, 2023 (the “Form 20-F”) within the prescribed time period without unreasonable effort and expense because of how recently the Company’s new auditor was engaged and that additional time is necessary to prepare and complete the review and audit of the Company’s financial statements for the year ended December 31, 2023, including Marcum’s completion of its independent audit procedures.
The Company is working diligently to complete the preparation and review of its financial statements in order to file its Form 20-F as soon as practicable; however, the Company does not currently anticipate that it will be able to file its Form 20-F within the fifteen-day grace period provided by Rule 12b-25 under the Securities Exchange Act of 1934.

As previously disclosed in the Company’s report on Form 6-K filed on February 29, 2024, the Company has made preliminary determinations of certain results of operations. Total revenue for the year ended December 31, 2023, is expected to be approximately €162.6 million, compared to €115.7 million for the year ended December 31, 2022. Net loss for the year ended December 31, 2023, is expected to be approximately €3.1 million, compared to €46.4 million for the year ended December 31, 2022.
