State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
HUB Cyber Security Ltd. (the “Company”) is filing this Notification of Late Filing on Form 12b-25 (this “Notification”) with respect to its Annual Report on Form 20-F for the fiscal year ended December 31, 2024 (the “Annual Report”). The Company missed the filing deadline because a major wildfire in Israel on April 30, 2025 forced the lead member of the Company's corporate team to evacuate his family from their home. This could not be eliminated without unreasonable effort or expense. The Company will file the Annual Report immediately after filing this Notification.
