    PART III – NARRATIVE

     

    State below in reasonable detail why the Form 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR or the transition report portion thereof, could not be filed within the prescribed time period. (Attach extra sheets if needed.)

     

    Micropolis Holding Company (the “Company”) is unable, without unreasonable effort or expense, to file its Annual Report on Form 20-F for the fiscal year ended December 31, 2024 within the prescribed time period due to delays in completing the audit of its financial statements. The Company's initial public offering, completed in March 2025 (the “IPO”), was delayed from its original schedule. As a result, the Company's independent auditors were unable to commence the audit process until after the IPO was completed, with audit work beginning on April 1, 2025. The compressed timeline has not allowed sufficient time to complete the audit and prepare the required financial statements and disclosures for inclusion in the Form 20-F by the filing deadline. The Company is working diligently with its auditors to complete the audit and file the Form 20-F as soon as practicable.

     

    The Company currently expects to file the Form 20-F no later than the fifteenth calendar day following the prescribed filing date.
