The Registrant was unable, without unreasonable effort or expense, to file its Annual Report on Form 20-F for the period ended December 31, 2021 (the “Annual Report”) by the May 2, 2022 filing date due to a delay experienced by the Registrant in finalizing its financial statements and other disclosures in the Annual Report. Much of the Registrant’s operations are located in Shanghai, which has been affected by government lockdowns related to the coronavirus pandemic.
