The Registrant is unable to file its Form 20-F for the year ended December 31, 2024 within the prescribed time period without unreasonable effort or expense because the Registrant needs additional time to prepare the financial statements for the year ended December 31, 2024.

The Registrant anticipates that it will file its Form 20-F within the fifteen-day grace period provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended.

For the year ended December 31, 2024, we had a net loss of approximately $40 million, which consisted of revenue of approximately $14 million, cost of revenues of approximately $22 million, operating expenses of approximately $30 million and other expenses of approximately $1 million.

For the year ended December 31, 2023, we had a net loss of approximately $267 million, which consisted of gross loss of $12 million, general and administrative expenses of approximately $170 million, selling expenses of approximately $7 million, research and development expenses of approximately $24 million and the other expenses approximated $55 million.

The amounts reported above are still under review by our independent registered public accounting firm and accounting consultants and may differ once reported in the Form 20-F to be filed.
