DEREGISTRATION OF SECURITIES

 

GCT Semiconductor Holding, Inc., a Delaware corporation (the “Registrant”), is filing this Post-Effective Amendment No. 1 (the “Amendment”) to the Registration Statement on Form S-1 (File No. 333-278809) filed by the Registrant with the Securities and Exchange Commission (“SEC”) on May 23, 2024 and declared effective on June 03, 2024 (“S-1 Registration Statement”), to deregister any and all securities of the Registrant registered but unsold or otherwise unissued under the S-1 Registration Statement as of the date hereof.

 

The S-1 Registration Statement registered (i) the issuance by us of up to 26,724,001 shares of our common stock underlying warrants, (ii) the future resale of up to 35,970,732 shares of our common stock, and (iii) the future resale of up to 6,580,000 private placement warrants, held by the selling securityholders named in the prospectus, as required by the registration rights agreement that we initially entered into with certain of the selling securityholders on March 26, 2024.

On May 30, 2025, the Registrant filed a Registration Statement on Form S-3 (File No. 333-286704) with the SEC, which was declared effective on June 6, 2025, to register all unsold or unissued securities under the S-1 Registration Statement and to register for resale certain warrants as required by the securities purchase agreement that we initially entered into with certain of the selling securityholders on September 26, 2024.

 

For ease of reference, all share numbers above are as stated in the S-1 Registration Statement.

 

Any and all offerings of the Registrant’s securities pursuant to the S-1 Registration Statement have been terminated. Accordingly, the Registrant hereby terminates the effectiveness of the S-1 Registration Statement. In addition, in accordance with undertakings made by the Registrant in the S-1 Registration Statement to remove from registration, by means of a post-effective amendment, any securities being registered which remain unsold at the termination of the offering, the Registrant hereby removes from registration all securities registered under the S-1 Registration Statement that remain unsold under the S-1 Registration Statement as of the date hereof. The S-1 Registration Statement is hereby amended, as appropriate, to reflect the deregistration of such securities.
