EXPLANATORY NOTE
Deregistration of Unsold Securities
This Post-Effective Amendment (this “Post-Effective Amendment”) relates to the Registration Statement on Form S-1 (File No. 333-260254) (the “Registration Statement”) originally filed by MoneyLion Inc., a Delaware corporation (the “Company”), with the U.S. Securities and Exchange Commission (the “SEC”), on October 14, 2021, as amended on October 20, 2021, April 15, 2022 and July 1, 2022, registering (a) the resale from time to time of 172,772,672 shares of Class A common stock, par value $0.0001 per share (“Class A Common Stock”) by the selling stockholders named therein, (b) the resale from time to time of 8,100,000 warrants to purchase Class A Common Stock by the selling stockholders named therein and (c) 25,600,000 shares of Class A Common Stock, issuable upon the exercise of certain warrants.
On April 15, 2022 and July 1, 2022, the Company filed post-effective amendments to Form S-1 to the Registration Statement. On December 10, 2024, the Company, entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Gen Digital Inc., a Delaware corporation (“Parent”), and Maverick Group Holdings, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”), providing that, among other things, Merger Sub will be merged with and into the Company, with the Company surviving as a wholly owned subsidiary of Parent (the “Merger”).
As a result of the consummation of the transactions in connection with the Merger, the Company has terminated all offerings of its securities pursuant to its existing registration statements, including the Registration Statement. Effective upon filing of this Post-Effective Amendment, the Company hereby removes from registration all securities registered under the Registration Statement that remain unsold as of the date hereof.
