EXPLANATORY NOTE
DEREGISTRATION OF UNSOLD SECURITIES
This post-effective amendment (this “Post-Effective Amendment”) filed by Ruth’s Hospitality Group, Inc., a Delaware corporation (the “Registrant”), relates to the Registration Statement on Form S-3 (Registration No. 333-171485) (the “Registration Statement”) filed by the Registrant with the Securities and Exchange Commission on December 30, 2010, relating to the registration of 8,620,690 shares of Common Stock, par value $0.01 per share, of the Registrant with an aggregate offering price not to exceed $40,905,174.05.
On June 14, 2023, pursuant to the terms of the Agreement and Plan of Merger, dated as of May 2, 2023, by and among the Registrant, Darden Restaurants, Inc., a Florida corporation (“Parent”), and Ruby Acquisition Corporation, a Delaware corporation and indirect wholly owned subsidiary of Parent (“Purchaser”), Purchaser was merged with and into the Registrant (the “Merger”), with the Registrant surviving the Merger as the surviving entity. As a result of the Merger, the Registrant has terminated any and all offerings and sales of securities pursuant to the Registration Statement. In accordance with the undertakings made by the Registrant in the Registration Statement to remove from registration, by means of a post-effective amendment, any of the securities that had been registered for issuance that remain unsold at the termination of the offering, the Registrant hereby removes from registration all of such securities of the Registrant registered but not sold or otherwise issued under the Registration Statement, if any, as of the date hereof. The Registration Statement is hereby amended, as appropriate, to reflect the deregistration of such securities. After giving effect to this Post-Effective Amendment, there will be no remaining securities registered by the Registrant pursuant to the Registration Statement.
