REGISTRATION OF ADDITIONAL SHARES PURSUANT TO GENERAL INSTRUCTION E

Achieve Life Sciences, Inc. (the “Registrant”) is filing this Registration Statement on Form S-8 (the “Registration Statement”) with the Securities and Exchange Commission (the “Commission”) to register an additional 5,000,000 shares under the Registrant’s Amended and Restated 2024 Equity Inducement Plan (the “2024 Plan”). With respect to the 2024 Plan, this Registration Statement on Form S-8 hereby incorporates by reference the contents of the Registrant’s Registration Statements on Form S-8 filed with the Commission on December 5, 2024 (Registration No. 333-283630) and April 16, 2026 (Registration No. 333-295099).
