EXPLANATORY NOTE

Pursuant to General Instruction E of Form S-8, DENTSPLY SIRONA Inc. (the “Registrant”) is filing this registration statement on Form S-8 (this “Registration Statement”) with the U.S. Securities and Exchange Commission (the “Commission”) to register, in connection with the Registrant’s 2024 Omnibus Incentive Plan (as amended as of June 2, 2026), an additional 15,000,000 shares of the same class as registered under the Registrant’s effective registration statements on Form S-8, File Nos. 333-279714 and 333-2884 53, filed with the Commission on May 24, 2024 and July 1, 2025, respectively (the “Earlier Registration Statement”). The contents of the Earlier Registration Statements, where applicable, are hereby incorporated by reference, except that the provisions contained in Part II of such Earlier Registration Statement are modified as set forth in this Registration Statement.
