EXPLANATORY NOTE

Pursuant to General Instruction E of Form S-8, Skillsoft Corp. (the “Registrant” or the “Company”) is filing this registration statement on Form S-8 (this “Registration Statement”) with the U.S. Securities and Exchange Commission (the “SEC”) for the purpose of registering an additional 72,500 shares (the “Shares”) of the Company’s Class A common stock, par value $0.0001 per share (“Common Stock”), which have again become available for issuance under the Company’s 2024 Employment Inducement Incentive Award Plan (as amended by Amendment No. 1 thereto, the “Inducement Plan”) pursuant to the share counting, share recycling and other terms and conditions thereof.

The Shares are being registered in addition to: (a) 200,000 shares of Common Stock registered on that Registration Statement on Form S-8 filed with the SEC on May 20, 2024 (File No. 333-279543); and (b) 200,000 shares of Common Stock registered on that Registration Statement on Form S-8 filed with the SEC on July 25, 2025 (File No. 333-288958) (collectively, the “Prior Registration Statements”). However, the Shares registered by this Registration Statement do not represent an increase in the number of shares previously reserved for issuance under the Inducement Plan.

This Registration Statement relates to securities of the same class as to which the Prior Registration Statements relate, and hereby incorporates by reference the contents of the Prior Registration Statements, except to the extent supplemented, amended or superseded by the information set forth herein, or by any subsequently filed document that is incorporated by reference herein or therein.
