    This Registration Statement is being filed by TIAN RUIXIANG Holdings Ltd (the “Registrant”) in accordance with the requirements of Form S-8 under the Securities Act of 1933, as amended (the “Securities Act”) in order to register 6,000,000 Class A ordinary shares issuable pursuant to the 2025 Share Incentive Plan (the “2025 Plan”) adopted by the board of directors of the Registrant.
