EXPLANATORY NOTE

Baker Hughes Company (the “Registrant”) previously filed with the Securities and Exchange Commission (the “Commission”) a Registration Statement on Form S-8 (File No. 333-256119) on May 14, 2021 (the “Prior Registration Statement”) to register (i) 29,500,000 shares of its Class A common stock, par value $0.0001 per share (the “Common Stock”), for offer or sale under the Baker Hughes Company 2021 Long-Term Incentive Plan (the “2021 LTIP”) and (ii) 6,500,000 shares of Common Stock for offer or sale under the Amended and Restated Baker Hughes Company Employee Stock Purchase Plan (the “2021 ESPP”).

On May 19, 2026, the shareholders of the Registrant approved (a) the Baker Hughes Company 2026 Long-Term Incentive Plan (the “2026 LTIP”) and (b) the Second Amended and Restated Baker Hughes Company Employee Stock Purchase Plan (the “ESPP”).

The 2026 LTIP replaced and succeeded the 2021 LTIP and, in connection therewith, no further awards will be made under the 2021 LTIP as of and following May 19, 2026. Pursuant to the terms of the 2026 LTIP, the aggregate number of shares of Common Stock available for issuance under the 2026 LTIP includes the number of shares of Common Stock that remained available for future awards under the 2021 LTIP as of March 16, 2026 plus 9,500,000 newly authorized shares, adjusted to reflect shares of Common Stock that may become issuable under the 2021 LTIP pursuant to Rule 424 of the Securities Act of 1933, as amended (the “Securities Act”). As of March 16, 2026, a total of approximately 15,261,412 shares of Common Stock previously registered under the Prior Registration Statement remained available for issuance under the 2021 LTIP (the “Carryover LTIP Shares”). In addition, as of March 16, 2026, a total of approximately 4,908,532 shares of Common Stock previously registered under the Prior Registration Statement remained available for issuance under the 2021 ESPP (the “Carryover ESPP Shares”, and together with the Carryover LTIP Shares, the “Carryover Shares”).

Accordingly, the Registrant is filing this Post-Effective Amendment No. 1 to the Prior Registration Statement (this “Post-Effective Amendment”) to register the offer and issuance of the Carryover LTIP Shares under the 2026 LTIP (as such shares are no longer issuable under the 2021 LTIP) and the Carryover ESPP Shares under the ESPP (as such shares are now issuable under the Second Amended and Restated Baker Hughes Company Employee Stock Purchase Plan). The Registrant incorporates the contents of the Prior Registration Statement herein by reference, except to the extent supplemented, amended or superseded by the information set forth herein or the specific exhibits attached hereto.

For the avoidance of doubt, the Registrant is not registering any additional shares of Common Stock on this Post-Effective Amendment that were not previously registered on the Prior Registration Statement. Prior to the filing of this Post-Effective Amendment, the Registrant filed a new Registration Statement on Form S-8 to register (i) 9,500,000 newly authorized shares of Common Stock for offer or sale under the 2026 LTIP and (ii) 9,500,000 newly authorized shares of Common Stock for offer or sale under the ESPP.

The Registrant’s certificate of incorporation and bylaws contain provisions indemnifying its directors and officers to the fullest extent permitted by law. Section 145 of the Delaware General Corporation Law provides that a corporation may indemnify directors and officers as well as other employees and individuals against expenses (including attorneys’ fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by such person in connection with any threatened, pending or completed actions, suits or proceedings in which such person is made a party by reason of such person being or having been a director, officer, employee or agent to the Registrant. The Delaware General Corporation Law provides that Section 145 is not exclusive of other rights to which those seeking indemnification may be entitled under any bylaw, agreement, vote of stockholders or disinterested directors or otherwise. The Registrant has entered into indemnification agreements with each of its directors and executive officers which, in some cases, may be broader than the specific indemnification provisions contained under Delaware

law. These agreements provide that the Registrant will indemnify such persons against certain liabilities that may arise by reason of their status or service as directors or officers, to advance their expenses incurred as a result of a proceeding as to which they may be indemnified and to cover such persons under any directors’ and officers’ liability insurance policy the Registrant chooses to maintain.

In addition, as permitted by Section 102(b)(7) of the Delaware General Corporation Law, the Registrant’s certificate of incorporation provides that no director will be liable to the Registrant or its stockholders for monetary damages for breach of fiduciary duty as a director. The effect of this provision is to restrict the Registrant’s rights and the rights of its stockholders in derivative suits to recover monetary damages against a director for breach of fiduciary duty as a director, except that a director will be personally liable for: (a) any breach of his or her duty of loyalty to the Registrant or its stockholders; (b) acts or omissions not in good faith which involve intentional misconduct or a knowing violation of law; (c) the payment of dividends or the redemption or purchase of stock in violation of Delaware law; or (d) any transaction from which the director derived an improper personal benefit. This provision does not affect a director’s liability under the federal securities laws. To the extent the Registrant’s directors, officers and controlling persons are indemnified under the provisions contained in the Registrant’s certificate of incorporation, the Registrant’s bylaws, Delaware law or contractual arrangements against liabilities arising under the Securities Act, the Registrant has been advised that in the opinion of the Commission such indemnification is against public policy as expressed in the Securities Act and is therefore unenforceable.

The Registrant maintains standard policies of insurance under which coverage is provided (a) to its directors and officers against loss arising from claims made by reason of breach of duty or other wrongful act, and (b) to the Registrant with respect to payments which may be made by the Registrant to such officers and directors pursuant to the above indemnification provision or otherwise as a matter of law.
