EXPLANATORY NOTE

This Post-Effective Amendment No. 1 to Form S-8 (this “Amendment”) relates to the Registration Statement on Form S-8 (the “Registration Statement”) of Sotherly Hotels Inc. (the “Registrant”), filed with the Securities and Exchange Commission on November 8, 2013 (Registration No. 333-192213). The Registration Statement pertains to the registration of an aggregate of 750,000 shares of the Registrant’s Common Stock, par value $0.01 per share (the “Shares”), issuable under the Registrant’s 2013 Long-Term Incentive Plan. The offerings of the Shares pursuant to the Registration Statement have been terminated. In accordance with an undertaking made by the Registrant in the Registration Statement to remove from registration, by means of a post-effective amendment, any securities of the Registrant which remain unsold at the termination of the offerings, the Registrant files this Amendment to terminate the effectiveness of the Registration Statement and to deregister 4,840 of the 750,000 Shares, which remain unsold under the Registration Statement as of the date hereof.
