(the “Registrant”) to register (i) 3,265,299 additional shares of the Registrant’s common stock, par value $0.01 per share (the “Common Stock”), available for issuance under the Beam Therapeutics Inc. 2019 Equity Incentive Plan and (ii) 816,324 additional shares of Common Stock available for issuance under the Beam Therapeutics Inc.
