    EXPLANATORY NOTE

     

    This Registration Statement is being filed by Bon Natural Life, a Cayman Islands exempted company (the “Company”), in accordance with the requirements of Form S-8 under the Securities Act of 1933, as amended (the “Securities Act”). The Company’s 2024 Equity Incentive Plan (the “2024 Plan”), which was adopted by the board of directors of the Company on February 19, 2024 and approved by the shareholders of the Company on March 9, 2024 allows for issuances not to exceed 20% of the issued and outstanding shares of the Company on a fully diluted basis. We are registering 52,701,507 Class A ordinary shares of the Company, par value $0.001 per share, issuable pursuant to the 2024 Plan which represents 20% of the issued and outstanding shares of the Company at the time of this Registration Statement.
