(the “Registrant”) for the purpose of registering additional shares of common stock, par value $0.0001 per share, of the Registrant (the “Common Stock”) under the ChargePoint Holdings, Inc. 2021 Equity Incentive Plan and Amended and Restated ChargePoint Holdings, Inc. 2021 Employee Stock Purchase Plan pursuant to the provisions of such plans that provide for automatic annual increases in the number of shares reserved for issuance thereunder.
