    Indemnification of Directors and Officers.

    Section 145 of the General Corporation Law of the State of Delaware (the “DGCL”) provides that a corporation may indemnify directors and officers as well as other employees and individuals against expenses (including attorneys’ fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by such person in connection with any threatened, pending or completed actions, suits or proceedings in which such person is made a party by reason of such person being or having been a director, officer, employee or agent to the Registrant. The DGCL provides that Section 145 is not exclusive of other rights to which those seeking indemnification may be entitled under any bylaw, agreement, vote of stockholders or disinterested directors or otherwise.
     
    The Registrant’s certificate of incorporation provides that no director or officer shall be liable to the Registrant or its stockholders for monetary damages for breach of fiduciary duty as a director or officer, except to the extent such exemption from liability or limitation on liability is not permitted under the DGCL, as now in effect or as amended. Currently, Section 102(b)(7) of the DGCL requires that liability be imposed for the following:

     
    •
    any breach of the director’s or officer’s duty of loyalty to the Registrant or its stockholders;

     
    •
    acts or omissions not in good faith or which involve intentional misconduct or a knowing violation of law;

     
    •
    unlawful payments of dividends or unlawful stock repurchases or redemptions as provided in Section 174 of the DGCL; and

     
    •
    any transaction from which the director or officer derived an improper personal benefit.

    The Registrant’s certificate of incorporation includes provisions that authorize and require the Registrant to indemnify its officers and directors to the fullest extent permitted under Delaware law, subject to limited exceptions. The Registrant has separate indemnification agreements with its directors and executive officers, which require it to indemnify these individuals to the fullest extent permitted by applicable law against liabilities that may arise by reason of their service to the Registrant, and to advance expenses incurred as a result of any proceeding against them as to which they could be indemnified.
