    EXPLANATORY NOTE

    This Registration Statement on Form S-8 (this “Registration Statement”) is being filed by Heidrick & Struggles International, Inc. (the “Registrant”) pursuant to General Instruction E of Form S-8 under the Securities Act to register an additional 649,000 shares of common stock, par value $0.01 per share (the “Common Stock”) for issuance pursuant to the Fifth Amended and Restated Heidrick & Struggles 2012 GlobalShare Program (the “Program”).
